CONSTITUTION AND BY-LAWS
KOKOMO AMATEUR RADIO CLUB
Preamble: The Kokomo Amateur Radio Club, hereinafter referred to as the “Club”, organized for the
purposes of securing the pleasures and benefits of the association of persons commonly interested
in Amateur Radio, by furthering better cooperation among its members, developing individual
efficiency, furthering the interest of Amateur Radio, duly adopts the following By-Laws as its
governing law.
ARTICLE I
Membership: Sec. I: All persons interested in Amateur Radio shall be eligible for membership. Membership
shall be gained by application approved by the Board of Directors in accordance with these by-laws.
ARTICLE II
Officers: Sec. I: Officers of this club shall consist of a President, Vice President, Secretary, and Treasurer. Any member of the club holding a valid amateur radio license is eligible for an elective office.
Sec. II: The officers shall be elected for a term of one year by secret ballot of a majority of the
members present at the last regular meeting in January, and such officers shall take office at the last regular meting in February
Sec. III: Vacancies occurring between elections must be filled by secret ballot at the next
regular meeting following the occurrence of the vacancy due to death, impeachment, resignation, etceteras.
Sec. IV: Officers may be removed on motion by a three-fourths majority vote of the members.
ARTICLE III
Duties of
Officers: Sec. I The President shall preside at all meetings of this club, and conduct the same according
to the rules adopted; he shall enforce due observance of the governing body of laws and
regulations; decide all questions of order; sign all official documents adopted by the club, and perform all customary duties pertaining to the office of President.
Sec. II: The Vice President shall assist the President and assume all the duties of the President
in the absence of the latter.
Sec. III: The Secretary shall keep a record of the proceedings of all meetings of the Board of
Directors and the membership, and handle all club correspondence. lie shall serve as a custodian of all club records and correspondence.
Sec. IV: The Secretary shall also accept applications for membership and mail notices as
deemed necessary by the President.
Sec. V: The Treasurer shall receive and receipt all money paid to the club; keep an accurate record of all money received and expended. No vouchers shall be issued for disbursement of funds
He shall write no checks except upon the order of the Board of Directors and this order being countersigned by the President. Each month, he without authorization of the membership or the shall submit for examination an itemized statement of receipts and disbursements to the Board of Directors. All funds shall be deposited in a recognized depository, and disbursed by check.
Sec. VI: Each officer, at the expiration of his term of office shall deliver all property and records
belonging to the club, for which he has been responsible, to his successor. Board of Directors.
ARTICLE IV
Meetings: Sec. I Regular meetings shall be held once each calendar month at such place as the President
shall order. Special meetings may be called by the President or upon the written request of any five members of the club. Members shall be notified of such special meetings well in advance of the meeting date. A quorum shall consist of those members present and in no event shall be less than 25 % of the membership, including the President.
ARTICLE V
Dues: Sec. I: Annual membership dues shall be TEN dollars($10.00). Membership will be
automatically terminated if dues are not paid within thirty (3O) days after expiration date.
Members attending elementary or high school may hold a Student Membership and the dues shall be $1.00 per year.
Sec. II: Only those members in good standing are eligible to hold voting powers in the
Kokomo Amateur Radio Club.
Sec. III: Any member who is in good standing who is called into, or voluntarily enlists, in the
armed services of his country, shall have his dues omitted for the duration of his service.
Sec. IV: Any member suspended for non-payment of dues may be reinstated only as a new
member.
Sec. V: Any person who qualifies and so desires to become a member of this club, shall, upon
the payment of an initiation fee of one dollar($l.00) plus one year's dues, become a member.
Sec. VI: The annual term of membership in this club shall be from January 1, to and including
December 31.
ARTICLE VI
Committees: Sec. I: The President shall be ex-officio chairman of every club committee and shall have the
duty of appointing at least the committee chairman.
Sec. II: Every committee or similar group shall be subordinate to the club and not be allowed
to function with a separate treasury or set of governing rules except such rules be authorized by the club membership.
ARTICLE VII
Expulsion
From
Membership: Sec. I: Any member may be expelled from the membership by the membership for deliberate
acts of violation of the orders, rules and regulations of the Federal Communications Commission relating to Amateur Radio, or for deliberate acts in violation of these by-laws or misuse of club property.
Sec. II: Upon the vote of three-fourths (3/4) of the membership, any member may be dropped
from the membership rolls for good cause, but in no event of reasons which are arbitrary and
capricious, or without giving that member a chance to be heard in his behalf.
ARTICLE VIII
Board of
Directors: Sec. I: The affairs of this club shall be managed by the Board of Directors, comprising all the
current elected officers, and the immediate past President.
Sec. II: The Board of Directors shall not have authority to expend any money in excess of
twenty five dollars ($25.00) in any one month without the approval of the membership, or to sell club property without the approval of the membership.
Sec. III: No indebtedness. shall be incurred by the Board of Directors and club membership
which exceeds the amount of money in the club treasury.
ARTICLE IX
Amendments: Sec. I: These by-laws may be amended by a three-fourths (3/h) vote of a quorum, provided a
reasonable effort has been made to notify all members of the intent to amend by-laws at a specific meeting.
ARTICLE X
Rules of
Order: Sec. I: Robert’s Rules of Order shall govern proceedings.
ARTICLE XI
Other Laws: Sec. I: These by-laws shall serve as the only body of governing laws and supercede to the
exclusion thereof all former governing laws.
ARTICLE XII
Effective: Sec I: These by-laws become effective May 1, l952.
Sec. II: These by-laws unanimously adopted by the membership at a regular meeting March
18, 1952.
Sec. III: These by-laws amended by club membership at the regular meeting February 16, 1960.
Sec. IV: These by-laws amended by club membership at the regular meeting February 1, 1983.
Sec. V: These by-laws amended by club membership at the regular meeting January 17. 1999.
